The Trustee-Manager is a wholly-owned subsidiary of Hyflux Ltd.

The Trustee-Manager has the dual responsibility of safeguarding the interests of Unitholders and managing the business conducted by HWT. The Trustee-Manager has general powers of management over the business and the assets of HWT. It will sets the strategic direction of HWT and decides on the acquisition, divestment or enhancement of assets of HWT in accordance with its stated investment strategy.

The Board of Directors is made up of individuals with a range of commercial experience, including expertise wide in the infrastructure industry.

The Trustee-Manager's Management Fee is pegged to an adjusted EBITDA per Unit of HWT ("Adjusted EBITDA per Unit"), which directly reflects the operating performance of HWT's portfolio of assets. A tiered structure is used to incentivise the Trustee-Manager to maximise the Adjusted EBITDA per Unit of HWT's portfolio of assets. The Trustee-Manager will also receive acquisition and divestment fees in relation to the successful acquisition or divestment of investments.
